1. Eligibility

You retain ownership of your User Content, but by submitting it, you grant RespectMusicTV a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with operating and promoting the Services.

You represent and warrant that you have all necessary rights to submit the User Content and that your User Content does not infringe or violate any third-party rights or any applicable laws.

We do not endorse or assume any responsibility for any third-party sites or services. 7. Disclaimer of Warranties

To the fullest extent permitted by law, the Services and all Content are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and course of dealing or performance.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any defects will be corrected. Your use of the Services is at your sole risk.

8. Limitation of Liability

To the fullest extent permitted by law, RespectMusicTV and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services.
• Any conduct or content of any third party on the Services.
• Any content obtained from the Services.
• Unauthorized access, use, or alteration of your transmissions or content.

In no event will our total liability for all claims relating to the Services exceed the amount you have paid us, if any, for use of the Services in the six (6) months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless RespectMusicTV and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Services, your User Content, or your violation of these Terms or any applicable law.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease, and any licenses granted to you under these Terms will terminate.

11. Governing Law and Dispute Resolution

These Terms and your use of the Services will be governed by and construed in accordance with the laws of the State of California and the federal laws of the United States applicable therein, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction and venue of such courts. If you are a resident of Canada or another jurisdiction with mandatory consumer protection laws, you may also have additional rights under those laws.

We may revise these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Your continued use of the Services after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.
